01Who we are and these terms
These terms are a contract between you and Norlyst (“we”), reachable at [email protected]. They cover norlyst.com and the service at app.norlyst.com, with its apps and its browser extensions. By creating an account or using the service, you accept them.
These terms exist in French and in English. The French version is offered to you first; if you accept the English version, you do so at your express wish.
02What the service is
Norlyst is a research workbench: it stores and organizes your own analysis of securities and the public documents you choose to bring into it. It is not a broker, a dealer, an adviser, a portfolio manager or a data vendor, and it holds no money or securities for you.
03Early access and price
The service is in early access: access is granted account by account, and it is free. The price of the service is US$50 per month, plus applicable taxes.
Billing has not started. Before it does, we will write to you by email at least 30 days ahead with the terms of the subscription, including the billing period, cancellation and refunds, and nothing will be charged without your explicit consent. Until then, you owe nothing.
04Not investment advice
Nothing in the service, on this site or in any email from us is a recommendation to buy, sell or hold a security, and Norlyst is not registered as an adviser or a dealer with any securities regulator. Verdicts, thresholds and returns in the service are calculations on your own inputs and on public data, which may be wrong or late. You alone are responsible for your investment decisions.
05Your account
An account is for one person, of the age of majority where they live, for that person's personal or professional use. During early access, accounts are admitted in Canada and the United States only. You sign in with Google or Apple and keep that access secure; tell us at once if you believe it was compromised. You are responsible for what is done with your account.
06Third-party services and your own accounts
Some features use your own account with a third party: a Canadian filings service you subscribe to, Substack, Microsoft OneDrive, your AI assistant. They run under that account and its terms, and you confirm you are entitled to use them as you do through Norlyst. Norlyst does not resell them and is not responsible for their availability, their content or what they do with what you send them.
07AI assistants
You can connect an AI assistant to your workspace. It reads what it asks for, adds and modifies, and never deletes; for 10 days, a value it replaced can be put back, as long as nobody has changed it since. You are responsible for what your assistant writes in your workspace and for your use of its provider, whose own terms apply. You can revoke a connection at any time.
08Your content
Everything you write or attach is yours. You grant Norlyst only the licence it needs to store, process, display and back up your content for you and to run the features you use. You can export it at any time.
09Acceptable use
Do not use Norlyst to break the law, to redistribute third-party data you have no right to share, to get around a source's access rules or limits, to probe or attack the service, or to share one account among several people.
10Withdrawal of access and end of the service
We may withdraw your access if you breach these terms, if you abuse the service, or if the law requires it. Except in the case of a serious breach, we tell you by email 30 days ahead, and your access stays open during that time so you can export your work. After a withdrawal, your workspace is kept, and exported for you on request, until you ask us to delete it.
If we end the service, we tell you 60 days ahead and give you a complete export. You can close your account at any time from the app.
11Availability and liability
The service is provided in early access, as is, with no commitment of availability. To the extent the law allows, Norlyst's liability for any claim is limited to the amounts you paid for the service in the twelve months before the claim, and Norlyst is not liable for investment losses or for indirect damages.
Nothing in these terms limits the rights you have as a consumer under Québec's Consumer Protection Act or under the law of the place where you live.
12Changes to these terms
We may change these terms. Before a material change takes effect, we write to you by email at least 30 days ahead; if you do not accept it, you can close your account before it takes effect.
13Law and courts
These terms are governed by the laws of Québec and the federal laws of Canada that apply there. Disputes go to the courts of the judicial district of Montréal, unless the law gives you the right to bring them before the courts of your place of residence.
